Frequently asked questions

  • What is commercial law?

As a legal discipline, commercial law covers a broad spectrum of issues relating to profit-generating activities. You might engage a commercial law specialist (or commercial lawyer) if you need legal advice relating to a business deal or contract, for instance.

A related – but distinct – field is corporate law, also known as enterprise, business or company law. This branch of law concerns the formation, conduct and management of companies. This includes things like restructurings, acquisitions and mergers.

Our expert solicitors provide a wide range of commercial and corporate legal services.

  • What comes under commercial law?

You can think of commercial law as covering all business-related legislation that doesn't fall under corporate law. This includes (but is far from limited to):

    • Contract law
    • Consumer protection laws
    • Intellectual property law
    • Labour law
    • Antitrust laws
    • Insurance law

  • What is a company according to company law?

The meaning and responsibilities of a company are laid out in the Companies Act 2006.  This legislation defines several types of companies, including:

    • Private companies limited by shares (often denoted by "Limited" or "Ltd" after the company name)
    • Standard companies limited by guarantee (often called "not-for-profits" or "charitable companies")
    • Public limited companies (PLC)
    • Limited liability partnerships (LLP)

  • What is "separate legal entity" in company law?

In UK law, a company is considered to have a "legal personality". This means that the company is considered a type of person (a "juridical" person), with its own rights, responsibilities and privileges.

That's why you'll sometimes see the term "separate legal entity" in legal documents pertaining to companies. It's often used to make a clear distinction between a company as a legal person and the human persons that make up its directorship or staff.
